As the founder and current majority shareholder of Imperium Umbrae, I want to inform you about a planned proposal regarding a share split.

From the very beginning, I stated that the total number of shares would be 5,000 - and this commitment has been fully honored. I am now proposing to double the total number of shares to 10,000, through a classic 1:2 share split.


What this means in practice:

- every current shareholder will receive twice the number of shares they currently hold,
- your percentage ownership in the holding will remain exactly the same,
- Discord roles based on share count will also be adjusted proportionally,
- the split does not change the relative value of anyone’s stake.


What does this give shareholders?

From a percentage and control perspective - nothing changes. Your position in the holding remains identical.


What does this give the holding and its owner?

- greater flexibility for future share sales,
- the ability to offer lower-priced individual shares,
- while maintaining a long-term target of 60% ownership on my side.


Funds raised from the new share issuance will be used primarily for:

- fast investments into factory expansion,
- addressing the current raw material overproduction,
- resuming dividends, which have been temporarily paused.


Voting procedure

The proposal will be submitted in the holding on Sunday morning.
Despite currently holding a majority of shares, I will support the option chosen by the remaining shareholders, so that the final decision reflects the will of the wider shareholder base rather than being decided unilaterally.


Additional note

If the proposal passes, the first batch of the cheapest newly issued shares will be announced exclusively on the closed Discord channel for shareholders.
That channel will also be used for questions and discussion - I will do my best to answer everything clearly and transparently.
